Binance.US Seeks Up to $100 Million at $1 Billion Valuation…

Binance.US is in talks to raise as much as $100 million at a valuation of about $1 billion, a steep discount to its 2022 round, as it works to rebuild its American business.

Binance.US is holding confidential discussions to raise as much as $100 million in a private funding round that would value the cryptocurrency exchange at approximately $1 billion, according to a Bloomberg report citing people familiar with the matter. The talks are still ongoing, and the final size, valuation and roster of investors could change. Binance.US has not publicly confirmed that any financing has been completed.

The figure marks a sharp step down from the exchange's previous raise. In April 2022, Binance.US brought in more than $200 million at a pre-money valuation of $4.5 billion. The roughly $1 billion level now under discussion is about 78% lower, though the exact comparison depends on whether the new number reflects pre- or post-money equity value.

Launched in 2019 as a separate American platform tied to the wider Binance ecosystem, Binance.US has spent recent years dealing with regulatory fallout. Binance co-founder Changpeng Zhao holds substantial ownership stakes in both the global and US businesses, even though they operate independently. After Binance Holdings reached a multibillion-dollar US settlement in 2023 over anti-money laundering and sanctions compliance failures, the US affiliate ran into banking problems, restrictions on dollar deposits and withdrawals, and weaker trading activity. It has since worked to restore fiat services and rebuild ties with financial institutions.

Expansion plans beyond spot trading

According to the report, the fundraising is part of a broader effort to win back market share in the United States. Binance.US is weighing a move into prediction markets and is seeking to restore money transmitter licenses in additional states. It is also exploring external liquidity arrangements that could involve Binance's international platform, although no agreement has been announced and any such structure would need to satisfy applicable regulatory and operational requirements.

The report also said World Liberty Financial, a crypto venture co-founded by President Donald Trump and others, was made aware of the fundraising. A person familiar with the discussions said World Liberty Financial is not taking part in the proposed investment. Representatives for both Binance.US and World Liberty Financial declined to comment.

The talks come as US crypto firms look to capitalize on shifting regulatory conditions and growing institutional interest in digital assets. Even so, Binance.US competes against larger exchanges with broader product suites, deeper liquidity and bigger user bases. Securing new capital could fund that push, but the lower valuation underlines how regulatory setbacks and operational disruption can weigh on an exchange even while the wider industry expands.
