Robinhood Ventures Fund II announces launch of IPO

Robinhood Ventures Fund II has started the roadshow for an IPO of up to 8 million common shares at $25 apiece, with NYSE listing planned under ticker RVII.

Robinhood Ventures Fund II (RVII) said on August 3, 2026 that it has launched the roadshow for its initial public offering of common shares of beneficial interest. The fund expects to offer up to 8,000,000 common shares at an initial public offering price of $25 per share, according to a registration statement on Form N-2 filed with the U.S. Securities and Exchange Commission.

RVII will offer up to 7,600,000 common shares in the IPO, while Robinhood Markets, Inc. will sell up to 400,000 common shares as the selling shareholder. RVII will not receive any of the proceeds from shares sold by Robinhood Markets. The window for investors to request IPO shares is expected to close on August 12.

The underwriters will have a 30-day option to purchase up to 1,200,000 additional common shares from RVII at the same initial offering price, less underwriting discounts and commissions. The shares are expected to be listed on the New York Stock Exchange under the ticker symbol RVII.

Goldman Sachs & Co. LLC is acting as lead bookrunner for the proposed offering. Citigroup, J.P. Morgan, UBS Investment Bank and Wells Fargo Securities are serving as joint bookrunners.

The registration statement relating to the proposed sale has been filed with the SEC but has not yet become effective. RVII noted that the securities may not be sold, nor may offers to buy be accepted, before the registration statement becomes effective. The offering will be made only by means of a prospectus forming part of the registration statement.
