Rain Acquires Digital Ma'arefa

Rain Financial Inc, the Bahrain- and Abu Dhabi-licensed crypto brokerage and custodian, has acquired Digital Ma'arefa, a Saudi financial media company whose network includes The Finance Memo, Crypto Memo, AI Memo, Saudi Memo and Tourism Memo. The transaction closed on March 30, 2026, according to a company announcement. Digital Ma'arefa's three co-founders — Abdullah Mashat, Wael AlMutlaq and Abdullah Fageih — will join Rain, with Mashat appointed Managing Director to support Rain's regional growth plans.

Digital Ma'arefa has built a following of more than one million users across its combined platforms over the past five years and counts over 100,000 regional newsletter subscribers, in addition to a leading investing podcast. The acquisition gives Rain a large financial-education audience in the Gulf region, complementing its regulated trading infrastructure. Rain co-founder AJ Nelson said the move unites two teams focused on trust, while Mashat said the companies share an ambition to deliver trust at scale through a combination of financial media and regulated infrastructure.

Rain was founded in 2017 and serves more than two million users, with over $11 billion in total trading volume processed since inception. The company raised $110 million in a Series B round in 2022 at a $500 million valuation. It is licensed by the Central Bank of Bahrain and Abu Dhabi Global Market, and registered in multiple jurisdictions.

Integration plans

Digital Ma'arefa's team will be folded into Rain's existing operations over the coming months, and the newsletters and news network will continue unchanged. Financial terms of the transaction were not disclosed.
