ActivTrades Redraws Its Group Structure as Overseas Units Move to a New Guernsey Parent

ActivTrades has reorganised its group structure, shifting its overseas units under a newly formed Guernsey parent company.

ActivTrades is restructuring its group ownership, with overseas units being transferred to a newly formed parent company based in Guernsey. The move redraws the broker’s corporate architecture, according to the announcement, and places its international operations under a new holding entity.

The announcement did not name the new Guernsey parent or list the specific overseas subsidiaries that will be moved under it. It also did not give a completion date. The change is at the group level and, based on the announcement, does not affect any client-facing products or services. ActivTrades has operations in several regulated markets, and the restructure is expected to be an internal ownership adjustment rather than a change to its regulated entities.

Guernsey is a common holding company jurisdiction for financial services groups. The island’s regulator oversees fiduciary and investment business, and a Guernsey parent can serve as a central point for managing subsidiaries in multiple countries. By moving overseas operations under a Guernsey parent, the group may simplify reporting lines and consolidate control of its non-UK businesses.

The company did not explain its rationale in the announcement. The new structure will, however, create a clear separation between the existing UK group and the overseas operations, which are now grouped beneath a single top-level entity. This type of redraw is often used to improve governance or to prepare for future capital allocation decisions.

Clients and counterparties are unlikely to see any immediate impact. No operational or personnel changes were disclosed. The main consequence of the move is the formal holding structure now in place for ActivTrades’ international businesses.
