Binance Cleared to Acquire Korean Crypto Exchange GOPAX

South Korea's financial regulator has approved Binance's acquisition of majority control of GOPAX, ending a two-year impasse. The decision allows Binance to resume operations in Korea and address GOFi repayment issues.

South Korea’s Financial Intelligence Unit has given Binance the green light to acquire a majority stake in local crypto exchange GOPAX, formally ending a regulatory standoff that had kept the global platform out of the Korean market for more than two years.

The approval, confirmed on Wednesday and first reported by local media MK on Thursday, allows Binance to take majority control of GOPAX and restart operations in the country. GOPAX confirmed that its board change report had been accepted by regulators, calling it part of a process to enhance management stability and meet regulatory requirements.

GOPAX also stated that it is working closely with Binance, its major shareholder, to operate with greater prudence and responsibility and to resolve issues for users affected by the collapse of its GOFi lending product, which was tied to the failure of Genesis Global Capital. Binance first announced its investment in GOPAX in 2023.

The move reopens a key Asian market that Binance exited in 2021 after tighter enforcement of real-name banking and anti-money-laundering rules. GOPAX’s request for leadership changes had been pending since March 2023, delayed amid concerns over Binance’s compliance history and the criminal conviction of its founder, Changpeng Zhao. Zhao served a four-month sentence last year for money laundering violations as part of a $4.3 billion settlement with the U.S. Department of Justice that restructured Binance’s governance.

Analysts view the decision as regulatory closure rather than an immediate market shift. Ryan Yoon, senior analyst at Seoul-based crypto analytics firm Tiger Research, said the approval is structurally about GOPAX’s major shareholder change review, not Binance’s independent market entry. He noted that Korean regulators assessed whether Binance meets fitness standards for controlling a licensed exchange, and the two-year process suggests past issues were remediated within regulatory requirements.

Yoon added that lower fees alone have not historically shifted market dynamics in Korea, and orderbook sharing with Binance Global likely conflicts with Korean regulatory requirements around trade surveillance and capital controls. Short-term exchange rankings are expected to remain stable given Upbit’s entrenched position, which held roughly 72% of the market in late 2024, while Bithumb accounted for about 24%, according to Kaiko Research. Longer-term prospects will depend on whether GOPAX can adapt Binance’s operational advantages within Korean regulatory constraints.
