Bakkt Completes Acquisition of Distributed Technologies Research

Bakkt said it closed its acquisition of Distributed Technologies Research, adding stablecoin and AI-native agentic payments infrastructure and issuing about 11.3 million shares as consideration.

Bakkt, Inc. (NYSE:BKKT) has completed its previously announced acquisition of Distributed Technologies Research (DTR), a developer of agentic payments and stablecoin infrastructure. The Atlanta-based fintech announced the closing on April 30, saying the deal pairs Bakkt's regulated, institutional-grade platform and nationwide licensing footprint with DTR's AI-native engine and compliance stack.

The acquisition was first outlined in a share purchase agreement dated January 11, 2026. As consideration, Bakkt issued 11,316,775 shares of its Class A common stock to DTR's beneficial holders. Bakkt may issue up to 725,592 additional shares in connection with warrants on its Class A common stock that were outstanding as of the purchase agreement date, subject to the terms of the agreement.

With DTR's stablecoin capabilities embedded into its core infrastructure, Bakkt said the combined company is building a 24/7 digital settlement layer designed to avoid the friction of traditional correspondent banking. Bakkt described the deal as an important step toward re-platforming global financial infrastructure and connecting legacy systems with next-generation digital assets.

Bakkt CEO Akshay Naheta said the transaction accelerates the modernisation of money movement and positions the company to address the more than $44 trillion cross-border payments market. He added that fully integrating DTR's technology introduces stablecoin functionality as a bridge between traditional finance and digital assets.

Bakkt said additional details about the acquisition and the consideration shares will be included in a Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission on April 30, 2026. The company's platform serves financial institutions, fintechs and consumer finance products, with a focus on institutional-grade trading, programmable finance and cross-border payment infrastructure.
